Terms of Service
These Terms of Service ("Terms") govern your engagement with and use of the media and brand services provided by Citizena Media LLC. By engaging our services, you agree to be bound by these Terms.
1. Scope of Services
Citizena Media LLC agrees to provide the client with media and brand services as detailed in a mutually agreed-upon Statement of Work (SOW). The SOW will outline specific deliverables, project timelines, and service fees. Any services not explicitly listed in the SOW are considered out of scope and may require a separate agreement.
2. Payment Terms
Fees for services will be invoiced as outlined in the SOW. Typically, ongoing services are billed on a monthly recurring basis and are payable in advance of the service period. Project-based work may require an upfront deposit. All payments are due upon receipt of the invoice unless otherwise specified. Late payments may result in a suspension of services and/or incur late fees. All fees paid are non-refundable.
3. Timelines and Delays
Citizena Media LLC will make all reasonable efforts to adhere to the project timelines outlined in the SOW. However, these timelines are estimates. The client acknowledges that their timely provision of feedback, assets, and necessary access is critical. Delays on the client's part may result in adjustments to the project timeline. Citizena Media LLC is not liable for any damages resulting from such delays.
4. Client Responsibilities
The client agrees to provide all necessary assistance to Citizena Media LLC for the successful execution of services. This includes providing accurate information, timely access to required accounts (e.g., Google Analytics, ad platforms), and clear feedback. The client warrants that any materials they provide (text, images, logos) do not infringe upon any third-party intellectual property rights.
5. Confidentiality
Both parties agree to treat all non-public information received from the other as confidential. This includes business strategies, financial data, customer information, and campaign performance data. This obligation extends beyond the termination of the service agreement.
6. Limitation of Liability
While Citizena Media LLC strives to deliver exceptional results, we make no guarantee of specific performance outcomes (e.g., specific search rankings, conversion rates, or ROI), as these are subject to factors beyond our control. In no event shall Citizena Media LLC be liable for any lost profits, or any indirect, special, incidental, or consequential damages arising out of or in connection with our services. The maximum liability of Citizena Media LLC to the client for any and all claims shall be limited to the amount of fees paid by the client in the three (3) months preceding the claim.
7. Termination
Either party may terminate the agreement with thirty (30) days' written notice. Upon termination, the client is responsible for paying for all services rendered up to the effective date of termination. Citizena Media LLC will cooperate in the transition of all client-owned assets and accounts upon receipt of final payment.
